Membership Service Agreement

1. Agreement Scope

1.1. This agreement is undertaken between you (the user) and StreamKar regarding StreamKar member subscription services (hereafter, referred to as “SK Member Services.”) SK Member Services refers to any online/operations services offered by Tipping Points Technologies and potential services offered on its associated platform (hereafter, referred to as StreamKar.) “User”refers to anyone who is availing these services provided StreamKar (hereafter, referred to as “you.”)

1.2. As per this agreement, Member Services (hereafter, to be referred to as such) refer to services which, after paying and subscribing using one of StreamKar’s prescribed payment methods, can be availed on StreamKar according to what is offered by StreamKar, in accordance to the relevant abiding agreements/regulations. Details of services are to be provided and understood as offered by StreamKar.

1.3. The ownership and operation rights of the member services are owned by StreamKar, and StreamKar has the right to interpret the member service system and activities and its rules within the limits prescribed by law.

2. Members Services Activation Procedure

2.1. How to Activate Member Services

2.1.1 The user may only activate member services via any currently available or, in the future, newly added channels in StreamKar.

2.1.2 The user must not engage in any of the following illicit behavior:

1. Activate member services for oneself or others for in pursuance of proft or any other use besides personal use of StreamKar;
2. Activate member services for oneself or others using crawler software, spider software, screen-wiping software or any other kind of illicit program.
3. Activate members services for oneself or others by any improper means or violations of good faith.
4. Activate member services for oneself or others by any means not officially sanctioned by StreamKar.
5. Activate member services for oneself or others by any means that infringes upon the legal rights of StreamKar or others.
6. Activate member services for oneself or others by any other violation of relevant laws, administrative regulations, public order or other relevant customs.

If the user is found in violation of any of the above clauses, StreamKar holds the right to immediately terminate the user’s member services, cancel the user’s membership status, as well as limit or block the user’s StreamKar account. In the case of any pecuniary loss caused by the user’s conduct, the user him or herself will take full responsibility for any such loss, and compensate StreamKar for any damages inflicted.

2.2. After activating members services, the user may enjoy a variety of exclusive packages and special services, within the set validity period. The user may check the validity period via the “My Badge” page within StreamKar.

2.3. The substance and availability of services is to be dictated by StreamKar itself. There remains possibility that due to changing business requirement or other reasons, StreamKar will be required to alter and/or adjust the substance of certain membership services. It is incumbent upon you, the user, to be attentive to and understand the substance and ramifications of any changes, as well as agree with these changes.

2.4. You agree that, regardless of the affect that any alteration or adjustment of any aspect of member services has personally upon you, after the alteration/adjustment, you will not seek any recompense from StreamKar for any loss/imagined loss borne.

2.5. Before the expiration of membership, StreamKar may prompt you to renew your membership; regardless of whether StreamKar prompts you, members will need to renew their membership to continue membership. If the member fails to renew the fee on time, StreamKar will stop providing the corresponding member service.

3. Provisions Regarding Membership Rights:

3.1. Within the validity period of a user’s membership, member users may have the opportunity to participate in certain events or avail certain offers/benefits with priority over non-member users.

3.2. After activating member services, any member user who is 1. unable to avail services for whatever reason 2. voluntarily cancels his/her member services for whatever reason, or 3. has his/her member services terminated, is not eligible for a refund of any funds paid to activate member services.

3.3. During the membership period, any membership rights/benefits are non-transferable. The user may not transfer these rights between different accounts he or she may have on StreamKar.

3.4. If the member user is found in violation of any of the provisions of this agreement or in violation of any relevant local law, StreamKar holds the right to limit, annul, cancel or otherwise terminate any and all membership rights and benefits enjoyed by the user. If, in StreamKar’s estimation, the member user is engaged in behavior that is or could be damaging to StreamKar’s revenue or interests, or any interests of others, StreamKar has the right to terminate the user’s membership and avail recompensation from the user. Under these circumstances, StreamKar will not be required to compensate the user for any of the user’s membership fee.

3.5. Any user who has had their membership credentials revoked may not join any member events organized by StreamKar, or enjoy any other benefit imparted on members. Neither can the user ever again enjoy member services, at the discretion of StreamKar.

3.6. Member users have the right to not participate in StreamKar member events, if so desired.

4. Membership Rules:

4.1. As the user enjoys the benefits of the StreamKar Member Services, the user is expected to abide the SK Members Service regulatory system.

4.2. You must not hack or otherwise illicitly use the Twitter account, Facebook account, Google account, Instagram account or mobile phone number of another person to sign-up for membership services. Upon discovery of this illicit behavior, StreamKar will immediately terminate the said account’s membership and will not have any membership fees reimbursed.

4.3. Users availing membership services must obey the following rules:

5.1. StreamKar strongly encourages users to make all efforts to protect their passwords and confidential account information. We suggest that upon finishing using StreamKar, you log-out. Any failure to protect your account information could lead to the hacking an account and any amount of damages to said account. In such instances, any damages are entirely the user’s to bear.

6. Member Services Notice & Announcement Policy

6.1. The method of Member Services Notices & Announcements include, but are not limited to:

• StreamKar in-app notices.
• Emails.
• Posts on the StreamKar Members Services in-app bulletin board.

7. User Conduct Violations

7.1. When availing membership services, the user is expected to follow all rules and regulations of StreamKar, and to not engage in any illicit conduct, including (but not limited to):

1. Publishing, distributing, disseminating or storing any content that violates public order, insults, slanders, defames, incites violence toward, and incites violation of laws and regulations of your country or region.
2. Publishing, distributing, disseminating or storing any content that violates the legal rights of others' intellectual property rights, trade secrets, etc.
3. Maliciously fabrications or distortion fact, with the aim of concealing the truth to mislead and deceive others.
4. Publishing, distributing or disseminating spam.
5. Other behavior that violates StreamKar’s rules or relevant local law.

7.2 If you are found in the violation of any of the provisions of this agreement, there is the possibility that relevant local authorities may issue a notice to you, fine or or take other punitive measures, in addition to requesting the support of StreamKar in enacting any such measures. Any losses incurred in such a situation are yours and yours only to bear, with StreamKar not accepting any responsibility and requiring compensation for any losses borne of itself (StreamKar).

7.3. If StreamKar discovers or receives report from others that any content produced by you violates any of the provisions of this agreement, StreamKar reserves the right to make independent judgments and take necessary measures to delete, block or take down the content. At the same time, StreamKar has the right to take measures such as, but not limited to, suspending or terminating services and pursuing legal liabilities (depending on the nature of the user's behavior.)

7.4. If you violate any of the provisions of this agreement and cause damage to any third party, you shall be solely responsible; if StreamKar suffers any losses, you shall also compensate for said losses.

8. Limit of Liability

8.1. Member users are responsible for all actions taken by themselves and their invited guests in participating in StreamKar's activities or in the implementation of the benefits and value-added services offered by StreamKar.

8.2. StreamKar will delete relevant documents or retain relevant evidence according to the relevant rules of the platform, in the case of users inputting or uploading content or documents that infringe the rights of relevant intellectual property rights, violate relevant laws and regulations or violate social ethics.

8.3. You understand and agree that in the course of using the Member Services, you may encounter risk factors such as force majeure, which may disrupt the Member Services. Force majeure refers to objective events that cannot be foreseen, cannot be overcome, and cannot be avoided and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, plague epidemics and storms, and social events such as war, turmoil, government actions, etc. . In the above situation, StreamKar will try its best to cooperate with the relevant bodies to immediately rememdy any issue, but StreamKar is not liable for any damage incurred by you during such a period.

8.4 To the extent permitted by law, StreamKar is not liable for any interruption or interruption of service caused by:

1. Damaged by computer viruses, Trojans or other malicious programs, hackers.
2. User or StreamKar's computer software, systems, hardware, and communication lines have failed.
3. Impropers actions by the user.
4. Users use member services through non-StreamKar authorization.
5. Other situations that StreamKar cannot control or reasonably foresee.

8.5. You understand and agree that in the process of using the Member Services, you may encounter issues with other users or online content you encounter.. StreamKar shall not be responsible for the authenticity, applicability and legality of any information or its original source. The damage caused to you is yours only. These risks include but are not limited to:

1. Information from others that is anonymous or assuming fake identities with threatening, defamatory, offensive, or illegal content.
2. Any misunderstanding, deception or other psychological or physical injury or economic loss caused or likely to be caused by the use and exposure to the services under this agreement.
3. Other risks due to the dissemination of information online or exposure to other user behavior.

8.6. You understand and agree that Member Services are not designed for specific purposes, including (but not limited to) military application, medical facilitation, transportation and other important areas. StreamKar is not liable for any casualties, property damage, or environmental damage caused by the failure of the above operations due to software or services.

8.7. StreamKar has the right to deal with illegal content in accordance with this agreement. This right does not constitute any obligation or commitment on the part of StreamKar. StreamKar cannot guarantee the timely detection of illegal activities or corresponding handling of said activities.

8.8. Under no circumstances should you accept loans, request passwords or other sensitive information while online with StreamKar. In any case, please be sure to verify the identity of the other party first, and please always pay attention to StreamKar's tips on preventing fraud.

9. Currently Provided Services

9.1. You understand and agree that StreamKar's services are provided in accordance with the current status quo and related conditions. StreamKar will do its utmost to provide you with services that ensure continuity and security; however, StreamKar cannot anticipate and protect against legal, technical and other risks, including but not limited to force majeure, viruses, Trojans, hacking, system instability, Service interruptions, data loss, and other losses and risks that may result from third party services, government actions, etc.

10. Member Service Termination

10.1. You understand and agree that the content of the Member services or content for any of the foregoing reasons or for other reasons. 1. You violate the relevant local laws and regulations or this agreement.
2. In accordance with the relevant laws or the requirements of the competent authorities.
3. For security reasons or other necessary circumstances.
4. If you gain member services through a non-StreamKar source or violate relevant laws, administrative regulations or the provisions of this agreement, StreamKar has the right to immediately terminate the membership service and cancel your membership. StreamKar does not need to give any compensation, or refund of any paid membership fees.

11. Agreement Validity & Changes

11.1. Your use of StreamKar's services constitutes your acceptance of this Agreement and is thus subject to this Agreement.

11.2. StreamKar reserves the right to modify the terms of this Agreement as necessary. You can check the latest version of the agreement terms on the relevant services page.

11.3. After the terms of this Agreement have been changed, if you continue to use the software or services provided by StreamKar, you are deemed to have accepted the modified agreement. If you do not accept the revised agreement, you should stop using the software or services provided by StreamKar.

12. Other

12.1 The contents of this agreement also include the User Agreement, the Privacy Policy, and the related agreements and business rules that StreamKar may publish on the service. Once the above content is officially released, it is an integral part of this agreement and you should also abide by it. In the event of any conflict between the foregoing and this Agreement, this Agreement shall prevail. Your acceptance of any of the aforementioned business rules and agreements is deemed to be your acceptance of this Agreement.

12.2. This Agreement is governed by and construed in accordance with the laws of Hong Kong without regard to the conflict of laws principles of any jurisdiction.

12.3. Any dispute or claim (each item, "controversy") arising out of or in connection with this agreement, or its interpretation, breach of contract, termination, validity or invalidity, shall be submitted to arbitration at the request of either party. The dispute shall be settled by the Hong Kong International Arbitration Centre in accordance with the jurisdictional arbitration rules of the Hong Kong International Arbitration Centre in accordance with the above rules. The arbitral tribunal's ruling is final and binding on the parties. The prevailing party may apply to the competent court for enforcement of the ruling. During the arbitral tribunal's award of the dispute, this agreement shall continue to be executed except for the disputed part and the ruling part.

12.4 The headings of all the terms of this Agreement are for convenience of reading only and have no actual meaning and cannot be used as a basis for interpretation of the meaning of this Agreement.

12.5. The terms of this agreement are partially invalid or unenforceable for any reason, and the remaining terms are still valid and binding on both parties.

13. Subscription Renewal Regulations

13.1. This portion is regarded as a supplemental agreement to the Member Services Agreement and is an integral part of it and constitutes a unified whole. In the event of any conflict between these Rules and the Member Services Agreement, these Rules shall prevail. If you wish to use StreamKar for continuous monthly service, you need to agree to these provisions. You affirm that you understand and agree to the following:

1. This service is an automatic renewal service provided to you on the premise that you have already activated the StreamKar membership service. If you activate this service, you are deemed to authorize StreamKar to have your own recharge account, bound third-party payment account, or bank card account to renew automatically (hereinafter referred to as the "account"), deducting balance 1 day before expiration of your current month of the auto-renewal.
